1. Platform Facilitator Role & Intermediary Status

Xecessity operates strictly as an electronic technology platform and intermediary software facilitator. The platform coordinates distributed state synchronization, bidding transaction intake, and automated auction workflows between participants and verified asset owners.

All assets cataloged across the platform (including vehicles, commercial equipment, and property rights) are provided, owned, and transferred by independent, verified asset partners. Xecessity does not own, take custody of, or manufacture cataloged assets.

2. Acceptance of Terms & Eligibility

By accessing our platform, registering an account, or entering a bid, you agree to be bound by these Terms.

  • You must be at least 18 years of age and possess full legal contracting capacity under the laws of Kenya.
  • You must provide accurate, current, and verifiable contact and identification details.
  • You warrant that all funds utilized originate from lawful activities and comply with applicable anti-money laundering regulations.

3. Third-Party Payment Processing & Settlement

All electronic payments, authorization holds, mobile money transactions, and settlements are conducted exclusively through licensed, regulated third-party payment service providers and authorized transaction gateways.

  • The platform does not operate as a depository institution and does not directly hold unsegregated user balances.
  • Transactions processed via external gateways or electronic settlement networks are subject to the respective providers' standard operational rules, fraud prevention checks, and clearing timeframes.
  • Once recorded and confirmed across authorized settlement networks, payments are final and subject to the platform's auction completion parameters.

4. Bidding Rules & Purchase Commitments

Bids submitted during active auction cycles represent firm, legally binding commercial offers to purchase or contribute toward the designated asset pursuant to platform rules.

Once validated and logged by the platform's real-time state ledger, bids cannot be unilaterally withdrawn, canceled, or altered by the bidder.

5. Handover, Verification & Fulfillment Policy

  • Asset Inspection: Winning participants are entitled to inspect the asset prior to final statutory title and registration conveyance to confirm conformity with published listings.
  • Logistics & Transfer: Physical delivery and title conveyance are coordinated through verified dealers and licensed logistics partners in compliance with statutory registration requirements in Kenya.
  • Resolution Procedures: In the event of documented fulfillment failure by a partner, settlement funds are resolved pursuant to standard escrow release and cancellation protocols.

6. Limitation of Liability & Disclaimers

The platform and related software services are provided on an "as is" and "as available" basis. To the fullest extent permissible under applicable law, the operators disclaim all express or implied warranties. We are not liable for incidental, indirect, or consequential damages resulting from telecommunication delays, external payment processor outages, or force majeure events.

7. Governing Law & Dispute Resolution

These Terms shall be governed by, and construed in accordance with, the laws of the Republic of Kenya. Any dispute, controversy, or claim arising out of or relating to these Terms shall first be submitted to mutual amicable discussions. If unresolved within thirty (30) days, it shall be resolved by binding arbitration in Nairobi, Kenya, pursuant to the Arbitration Act (Cap. 49 of the Laws of Kenya).
